A sub-division of shares (or share split) is where the existing shares (or class of shares) in a company are each subdivided into two or more new shares. The rights attached to the shares do not have to change meaning that it is merely the number of shares and the nominal value of each share that alters.
This service is useful for companies that need to alter the number of shares in issue and their nominal value without changing the overall total share capital.
For example. Company X Ltd has one £1 share in issue, but has a market value of thousands of pounds. All of the market value of company is concentrated into the one share. The shareholder wants to sell part of their holding, but they cannot sell half a share, so a sub-division of the shares to equal say 100 ordinary shares with nominal value of 1p each would allow them to then sell 50 shares.
Subdivisions of shares are very often performed as part of larger transactions , for example in anticipation of a new shareholder arriving or as part of a general share re-organisation.
